Identify The Event
A director appointment, resignation, share transfer and new share issue are different events. Record the current position, proposed result, relevant parties and intended date before requesting documents.
Confirm Who Can Approve
Check the constitution, applicable law and shareholder arrangements. Obtain advice where rights, disputes, restrictions or asset consequences are involved. A service provider receiving an email is not evidence that a valid company decision has been made.
Build A Consistent File
Collect identification for incoming persons and chain-of-ownership evidence. Draft the appropriate consents, instruments and resolutions within the agreed scope, then ensure signed documents and register updates agree.
Review Beneficial Ownership Separately
Legal shares and ultimate ownership or control are not identical. In the BVI, the registry framework includes beneficial-owner information. Ask the appointed agent to identify the updates applicable to the actual change.
Notify Outside Parties
A corporate file update does not automatically update the bank. Review bank signatories, payment accounts, contracts, licences and authorised contacts. Each recipient can ask for its own evidence.
Complete The Handover
Keep approved effective dates, signed versions, updated registers and filing confirmations. Tell affected persons which steps are complete and which remain open; do not resolve inconsistencies by inventing a historic signature date.
