Labuan Is A Malaysia-Linked International Framework
Labuan companies sit within Malaysia’s international business and financial framework and are supervised through Labuan FSA. The business activity should be classified before incorporation because tax, substance, licensing, accounting and audit consequences can depend on what the entity actually does.
Current Tax Framework
Labuan FSA states that Labuan trading activity is taxed at 3% of audited net profits and non-trading activity can be taxed at 0%, provided the entity satisfies the applicable substantial-activity requirements. A Labuan company may also elect to be taxed under Malaysia’s Income Tax Act 1967. Labuan IBFC’s current tax guidance also states that a Labuan entity failing the applicable economic-substance requirements can be taxed at 24% on chargeable profit, while non-Labuan business activity can fall under the Income Tax Act.
Substance Is Activity-Specific
There is no single substance number that should be copied onto every Labuan company. The relevant staffing, expenditure and operational requirements depend on the prescribed business activity. The correct approach is to identify the activity first and then check the current substantial-activity rules for that activity.
Accounting And Audit Matter
For trading activities, the statutory tax framework is tied to audited net profits. Proper bookkeeping, supporting records, financial statements and audit readiness should therefore be part of the formation plan rather than a year-end surprise.
Banking And Business Rationale
Labuan incorporation does not guarantee banking. A bank will still assess ownership, source of wealth and funds, supplier/customer countries, expected transactions, management and why a Labuan company is commercially reasonable for the business.
When Labuan May Be Worth Comparing
- International trading with an Asia-Pacific or Malaysia-linked rationale
- Regional service or holding structures that can meet the relevant substance test
- Owners who value a defined Malaysia-linked corporate and tax framework
- Businesses prepared for proper accounting, audit and ongoing administration
