Current Legal Framework

Seychelles International Business Companies are governed by the International Business Companies Act, 2016 as amended. The Seychelles Financial Services Authority publishes a consolidated IBC Act incorporating amendments through 24 August 2026. Incorporation and ongoing registered-office arrangements are ordinarily handled through a licensed international corporate service provider.

Accounting Records Are A Real Compliance Requirement

Section 174 of the IBC framework requires accounting information to be kept so that the company’s transactions and financial position can be explained. The Seychelles FSA has publicly stated that accounting records must be available to competent authorities on request. In practical terms, a Seychelles IBC should not be operated as if bookkeeping is optional.

Beneficial Ownership And KYC

A Seychelles structure still requires beneficial-owner identification and KYC through the relevant service-provider and legal framework. The company should be able to explain who ultimately owns or controls it and where the underlying funds come from.

Incorporation Does Not Equal A Financial-Services Licence

A Seychelles IBC can be incorporated for lawful activities, but regulated business is a separate question. For example, the FSA has repeatedly warned that incorporation under the IBC Act does not by itself authorise virtual-asset or securities activity. The same principle should be applied whenever a business touches a regulated sector.

  • Website or other business evidence where relevant

When Seychelles May Be Worth Comparing

Seychelles can be considered for selected international trading, service and holding structures where a lean international company is commercially reasonable and the owners can support KYC, banking and record-keeping. It should be compared against Labuan, BVI, Hong Kong or Singapore when those jurisdictions offer a stronger commercial or banking fit.
